Welcome to RoomsThatSell (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our virtual staging platform and services. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing our platform, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.
2. Description of Service
RoomsThatSell provides AI-powered virtual staging services for real estate professionals, including:
- AI-generated virtual staging of property images
- Batch processing capabilities for multiple images
- Style palette options and customization tools
- MLS-compliant export options and watermarks
- Project management and collaboration features
- Marketing material generation (flyers, social media content)
3. User Accounts and Registration
3.1 Account Creation
- You must provide accurate, complete, and current information when creating an account
- You are responsible for maintaining the confidentiality of your account credentials
- You must be at least 18 years old to create an account
- You may not create or use multiple personal accounts to circumvent plan limits or fees.
3.2 Account Responsibilities
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized use of your account
- You may not share your account credentials with others
- We reserve the right to suspend or terminate accounts that violate these Terms
3.3 Workspace and Team Accounts
- Workspace administrators (admins) own and control all workspace data, including projects, images, and settings
- Admins may add or remove members from the workspace at any time without notice
- Members removed by an admin immediately lose access to all workspace projects, images, and data
- Members cannot take, copy, or export workspace data when leaving unless explicitly authorized by the admin
- Admins may transfer the admin role to another workspace member
- Upon workspace subscription cancellation or termination, all members lose access to the workspace
- Workspace data is retained for 30 days after cancellation for backup purposes, after which it is permanently deleted
- Each workspace member is responsible for their own actions within the workspace; however, the admin is ultimately responsible for workspace compliance with these Terms
3.4 Account Assignment and Transfer
- Personal accounts are non-transferable and may not be sold, assigned, or transferred to third parties
- Workspace administrators may transfer the admin role to another member within the same workspace
- Account credentials must not be shared with anyone
- In the event of a user's death, the account will be closed unless proper legal documentation is provided
- We reserve the right to refuse account transfers at our discretion
4. Acceptable Use Policy
4.1 Permitted Uses
You may use our services for legitimate real estate marketing purposes, including:
- Creating virtual staging for property listings
- Generating marketing materials for real estate transactions
- Professional real estate business activities
- Educational and training purposes related to real estate
4.2 Prohibited Uses
You may not use our services for:
- Illegal activities or violation of any laws or regulations
- Uploading content that infringes on intellectual property rights
- Attempting to reverse engineer or compromise our platform security
- Spam, harassment, or abusive behavior
- Commercial use outside of real estate marketing without permission
- Uploading malicious software or harmful content
4.3 Fair Housing and Marketing Accuracy
RoomsThatSell provides image-generation tools only. We do not review or approve outputs for MLS compliance, Fair Housing Act compliance, or marketing accuracy. You are solely responsible for ensuring that any staged images you use in marketing materials comply with all applicable laws (including the Fair Housing Act and state/local fair housing laws), MLS rules, and professional standards. You must not use the Services to create or distribute misleading, deceptive, or discriminatory marketing materials. It is your responsibility to ensure that staged images accurately represent the property and do not create false impressions about property features, condition, or neighborhood characteristics.
5. Content and Intellectual Property
5.1 Your Content
- You retain ownership of your original property images and content
- You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process your content solely to operate, maintain, protect, and improve the Services; prevent fraud and abuse; and comply with law
- You are responsible for ensuring you have rights to upload and process your content
- You must not upload content that violates third-party rights
5.2 Generated Content
- AI-generated staged images are provided to you for professional use in real estate marketing
- You may use staged images for real estate marketing purposes, subject to MLS compliance requirements
- No Guarantees: RoomsThatSell provides no guarantees regarding the quality, accuracy, or MLS compliance of AI-generated images
- AI outputs may contain unexpected artifacts, inconsistencies, or inaccuracies
- AI staging may not preserve perfect architectural accuracy or structural integrity
- You are solely responsible for verifying that generated content complies with MLS and local real estate regulations
- We strongly recommend that you review and approve all staged images before using them in any marketing materials or listings
- We retain rights to our AI models, algorithms, and platform technology
5.3 Platform Content
All platform features, designs, trademarks, and technology are owned by RoomsThatSell and protected by intellectual property laws. You may not copy, modify, or distribute our platform content without permission.
5.4 DMCA & Copyright Policy
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. §512). If you believe that material on our platform infringes your copyright, please send a written notice to our DMCA Agent: RoomsThatSell — DMCA Agent, 11095 McKissick Road, Peyton, CO 80831, dmca@roomsthatsell.com. Your notice must include: (1) your contact information, (2) identification of the copyrighted work claimed to have been infringed, (3) identification and location of the allegedly infringing material on our platform, (4) a statement that you have a good-faith belief that the disputed use is not authorized, (5) a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf, and (6) your physical or electronic signature. We may terminate accounts of repeat infringers.
6. MLS Compliance and Professional Standards
6.1 Compliance Tools, Not Guarantees
- RoomsThatSell provides MLS compliance tools (automatic watermarking, dual exports, and resized outputs) to assist you in meeting MLS requirements
- We do not guarantee that any staged image or output is MLS-compliant
- Different MLS boards have different rules and requirements - you must know and follow your specific MLS rules
- You are solely responsible for verifying that staged images comply with your local MLS regulations before publishing
- All exported images automatically include both the original unstaged image and the watermarked virtually staged image, both resized to MLS-standard dimensions
- You are responsible for using the appropriate version (original or staged) as required by your specific MLS board
- You must disclose virtual staging when required by MLS or local regulations
6.2 Professional Responsibility
As a real estate professional, you are solely and exclusively responsible for ensuring that all staged images and marketing materials comply with applicable laws, regulations, professional standards, and MLS requirements in your jurisdiction. RoomsThatSell provides tools to assist with compliance but assumes no liability for MLS violations or regulatory non-compliance resulting from your use of staged images. Any information we provide about MLS rules, Fair Housing requirements, or other legal matters is for general informational purposes only and does not constitute legal advice. You should consult with a qualified attorney regarding specific legal questions or compliance requirements in your jurisdiction.
7. Billing and Payment Terms
7.1 Subscription Plans
- Agent Plan: $29/month for 100 staging credits + 10 video credits
- Pro Plan: $49/month for 300 staging credits + 30 video credits + flyers (coming soon) + 3 seats
- Business Plan: $129/month for 800 staging credits + 100 video credits + 10 seats + flyers (coming soon) + brand assets (coming soon)
- Annual billing: 2 months free (equivalent to 10 months pricing for 12 months of service)
7.2 Payment Terms
- Billing cycle: Subscriptions are billed in advance on a monthly or annual basis
- Auto-renewal: Your subscription will automatically renew at the end of each billing period and you will be charged at the beginning of the next billing cycle unless you cancel your subscription before the renewal date
- Payment processing: All payments are processed securely through Stripe
- Taxes: Prices are exclusive of taxes unless stated otherwise; where legally required, applicable taxes will be added to your invoice
- Refunds: Payments are non-refundable except in cases of billing errors or as required by law
- Credit rollover: Unused credits roll over to the next billing period up to a maximum of 2x your monthly limit
- Price changes: RoomsThatSell reserves the right to modify plan limits (monthly images, videos, seats, etc.) and pricing with 30 days' advance notice to existing subscribers
- Notifications: Changes to plan limits or pricing will be communicated via email and through platform notifications
7.3 Chargebacks and Non-Payment
- Unauthorized chargebacks or payment disputes may result in immediate account suspension or termination
- If a payment fails, we will attempt to process the payment again. Continued payment failures may result in service interruption or account suspension
- You are responsible for maintaining valid payment information and ensuring sufficient funds are available for recurring charges
- If you believe a charge is in error, contact support@roomsthatsell.com before initiating a chargeback. We will work with you to resolve legitimate billing issues
- Fraudulent chargebacks may result in permanent account termination and may be reported to relevant authorities
7.4 Free Trial
- New users receive 10 staging credits and 3 video credits as a one-time free trial to evaluate our service
- No credit card required for the free trial
- Free trial credits do not expire but are not replenished - they are a one-time offer
- One free trial per user/email address
8. Service Availability and Limitations
8.1 Service Availability
- We strive to maintain high service availability but cannot guarantee 100% uptime
- We may perform maintenance that temporarily affects service availability
- We reserve the right to modify or discontinue features with reasonable notice
8.2 Processing Limitations
- Image processing times may vary based on complexity and system load
- Large batch uploads may take longer to process
- We may implement usage limits to ensure fair access for all users
8.3 Export Rights and Data Portability
- You may export your staged images at any time while your account is active
- Exports are generated on-demand and include both original and staged images
- Export format: 1024x768 pixels in JPG format (may be updated to WebP in the future)
- Staged images in exports include a “Virtually Staged” watermark as appropriate for MLS compliance
- Exports are not pre-saved; they are generated from your stored images at the time of download
- You can download all project data and images at any time through the platform

8.4 Beta and Experimental Features
- Features marked as “beta,” “experimental,” or “preview” are provided as-is without warranties
- Beta features may be unstable, contain bugs, or produce unexpected results
- We may modify, discontinue, or remove beta features at any time without notice
- No guarantee is made regarding the continued availability of any beta feature
- Feedback on beta features is appreciated but not required for continued use
- Use of beta features is at your own risk
9. Termination
9.1 Termination by You
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You retain access to your account and data until the end of your billing period
9.2 Termination by Us
- We may suspend or terminate your account for violation of these Terms
- We may terminate service with 30 days' notice for business reasons, including but not limited to: service discontinuation, significant platform changes, or business restructuring
- We reserve the right to immediately suspend accounts for serious violations
9.3 Effect of Termination
- Upon termination, your right to use the service ceases immediately
- We will retain your data for 30 days after termination for backup purposes
- You may request data export before termination
- No refunds are provided for unused credits or subscription time
10. Disclaimers and Limitations of Liability
10.1 Service Disclaimers
- Our services are provided “as is” without warranties of any kind
- We do not guarantee specific results from virtual staging
- AI-generated content may not always meet your expectations and may contain artifacts or inconsistencies
- AI-generated staging may not be architecturally accurate; you must review all outputs for structural integrity before use
- We do not guarantee that staged images are MLS-compliant; you must verify compliance before publishing
- You are solely responsible for reviewing and approving all staged images before using them in any professional capacity
- We are not liable for any MLS violations, regulatory non-compliance, or inaccuracies resulting from your use of staged images
- AI outputs may occasionally produce unexpected or inappropriate results that require human review and correction
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RoomsThatSell SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless RoomsThatSell, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by the laws of the United States and the State of Colorado, without regard to conflict of law principles.
12.2 Dispute Resolution & Arbitration
- Good-faith resolution: If you have a dispute with RoomsThatSell, please contact support@roomsthatsell.com first. We will attempt to resolve disputes informally within 30 days through good-faith negotiation
- Binding arbitration: If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or our services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for business users), as modified by this section
- Venue & language: Arbitration will be conducted in Denver County, Colorado, or remotely via video conference at either party's request. All proceedings will be conducted in English
- Small-claims court: Either party may bring an individual action in small-claims court as an alternative to arbitration
- Class action waiver: Disputes must be brought only on an individual basis, not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. There will be no right or authority for any dispute to be brought, heard, or arbitrated as a class action or in a private attorney general capacity
- Opt-out right: You may opt out of this arbitration agreement by sending written notice to legal@roomsthatsell.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration
- Arbitration costs: Each party will be responsible for their own costs, including attorney fees, except as otherwise required by applicable law or AAA rules
- Court venue for non-arbitrable matters: For disputes not subject to arbitration, the state and federal courts located in Denver County, Colorado shall have exclusive jurisdiction and venue
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through our platform. Your continued use of our services after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our services.
14. Privacy, Security & Confidentiality
- Confidentiality: Non-public information you provide that is marked as confidential or that should reasonably be considered confidential (such as property addresses, client information, or proprietary business data) will be protected and used only to provide the Services. We will not disclose such information except as required by law or with your permission
- Security: We implement reasonable technical and organizational security measures to protect your data, including encryption, access controls, and secure cloud storage. However, no system is 100% secure, and we cannot guarantee absolute security
- Privacy Policy: Our collection, use, and protection of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Data Processing Agreements (DPAs) may be available for business customers upon request
- Data ownership: You retain all ownership rights to your property images and data. We claim no ownership over your content
15. Miscellaneous
15.1 Third-Party Services
The Services integrate with and rely upon third-party platforms and services, including Stripe (payment processing), Clerk (authentication), Convex (database), Cloudflare (storage and CDN), Vercel (hosting), Google Gemini (AI processing), and PostHog (analytics). Your use of these third-party services may be subject to their respective terms of service and privacy policies, and we are not responsible for their actions, omissions, availability, or any issues arising from your use of such services. The Services may also include open-source software components, each licensed under its own applicable open-source license terms. We disclaim all liability for third-party services and software.
15.2 Force Majeure
RoomsThatSell shall not be liable for any failure to perform or delay in performance of any obligation under these Terms due to causes beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, fuel crises, natural disasters, failure of internet infrastructure, or failure of third-party services (including Google Gemini, Cloudflare, Convex, Clerk, Stripe, or Vercel). We will make reasonable efforts to notify you of any such delays and to restore service as quickly as practicable. No refunds or credits will be provided for service interruptions caused by force majeure events.
15.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the original provision.
15.4 Export and Sanctions Compliance
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. government embargoes or sanctions, and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws, including those of the United States. We reserve the right to suspend or terminate your account if we believe you are in violation of applicable export or sanctions laws.
15.5 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. Any attempted assignment in violation of this section will be void. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
15.6 Notices
We may provide notices to you via email to the email address associated with your account, through the Services, or by posting on our website. You agree that electronic notices satisfy any legal requirement that notices be in writing. Legal notices to RoomsThatSell must be sent in writing to legal@roomsthatsell.com and 11095 McKissick Road, Peyton, CO 80831. Notices are deemed received when sent via email or when posted to the Services.
15.7 Survival
Upon termination or expiration of these Terms, any provision that by its nature should survive will survive, including but not limited to: Content and Intellectual Property (Section 5), Payment Terms (Section 7), Disclaimers and Limitations of Liability (Section 10), Indemnification (Section 11), Governing Law and Disputes (Section 12), Privacy, Security & Confidentiality (Section 14), and this Miscellaneous section (Section 15).
15.8 Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and RoomsThatSell regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.
